The user assumes the entire risk of using any of the solutions. Any liability of the seller or manufacturer is limited exclusively to the replacement of distribution media defective in materials or workmanship. Annual Support & Maintenance: Upon payment of the Annual Support & Maintenance fees (ASM), TORViC shall provide the Support & Maintenance for a period of one (1) year, automatically renewable unless a 30-day written notice is provided prior to annual expiry, subject to payment of the appropriate ASM. These fees may increase at a rate no greater than 5% annually, or equal to the CPI. The mandatory initial period of Support & Maintenance shall be the initial one (1) year period after a new implementation of the Software (Visual ClubMate.™). In the event of termination, the Client must pay all ASM for this period. Support & Maintenance shall adopt the ‘Visual ClubMate.™ Client Support & Software Maintenance Policies’..
